1. Contracting parties and scope

Meapy Health offers Employee Assistance Programmes (EAP), individual Guidance and Learning and Development (L&D). Het Financieel Huis bv is the contract holder for Belgium. All other countries are managed by BSJ Invest lda at the Portuguese address below. Your quote or agreement identifies your contracting entity.

These terms are intended for organisations buying services. Employees using their organisation’s programme do not thereby become personally responsible for its fees. Franchising requires a separate franchise agreement; an enquiry grants no operating or exclusivity rights.

2. Quotes, orders and contract formation

A quote request is not itself an agreement. Customers must provide accurate organisation, country, employee and service information. Only an authorised representative may accept a quote for an organisation.

A contract is formed when both parties accept the order or quote through the stated process and the contract holder confirms it. An automated receipt or reference does not itself establish acceptance, payment or activation. Final confirmation identifies the services, price, contracting entity and agreed start.

3. Contract documents and precedence

The accepted quote, order confirmation, service agreement, programme description and these terms together define the arrangements. Expressly agreed specific provisions prevail over general provisions in case of conflict. Mandatory law always applies.

Website terms govern website use; the privacy notice and any data-processing arrangements separately govern personal data. Keep the documents and terms supplied with your order.

4. Three separately priced services

EAP is an employee support programme, Guidance provides individual or additional support, and L&D covers training and development. They have different pricing models and are not automatically all included in one package.

The quote lists the selected EAP and optional services. Guidance, L&D and bespoke services are quoted separately unless expressly included. Programme descriptions define included services, eligibility, countries and limits.

5. STANDARD, PREMIUM and sessions

Mental well-being support uses a selected model of 5 or 8 sessions. PREMIUM provides three times as many legal and financial consultations as STANDARD, without automatically increasing mental sessions. Allocation and usage conditions are defined in the programme description.

STANDARD and PREMIUM follow the same access and response-time arrangements (SLA). PREMIUM does not provide faster access. Extra hours and longer-term guidance for deeper-rooted issues are additional services, not automatic PREMIUM entitlements.

6. Quotes and international programmes

Every programme is offered on the basis of a tailored quote. Larger and international organisations discuss the set-up with an account manager.

Several countries can be included, each with its own employee count. Optional services are not available everywhere. A dedicated number per selected country is optional, not automatically included. Your quote or confirmation identifies countries, services and applicable country-specific costs.

7. Prices, VAT and cost components

Amounts in the quote are in euro and exclude VAT. Applicable VAT and invoicing details are set out in the quote or at invoicing. The quote distinguishes one-off set-up, annual account management, the programme and selected extra services.

The quote shows costs per year and per country separately. One-off costs do not automatically recur annually.

Employee counts, countries, package, options and organisation inputs determine the calculation. Check them before acceptance. The confirmed price and any expressly agreed price-adjustment procedure prevail; subsequent website changes do not automatically change existing contracts.

8. Invoicing and payment

The agreement or confirmation defines invoicing, payment method and payment deadlines. Customers provide accurate company, billing and VAT details. Only expressly agreed discounts apply.

Contact us to explain any invoice dispute so the parties can seek a resolution. Consequences of late payment follow the agreement and applicable law. These terms introduce no fixed penalty, interest rate or collection charge not agreed by the parties.

9. Launch and customer cooperation

The planned launch timeframe is 6 to 8 weeks, with the actual schedule confirmed during onboarding. Timely organisation information, countries, communication choices and approvals are needed for set-up.

Customers nominate a contact, cooperate with implementation and inform employees about access. Missing information, approvals or other circumstances affecting the schedule are discussed to agree a revised start. A request alone does not activate the programme.

10. Contract duration and termination

Standard contracts run for three years from the agreed start date. After the first contract year, customers may cancel at any time with three months’ notice; they need not wait until the end of year two or three.

Give written notice to the contract holder identified in your agreement. The parties confirm receipt, the end date and settlement. Agreed services and payment obligations continue until the effective end date. Deviations must be expressly agreed.

The agreement determines what happens at the end of the three-year term. These terms do not provide automatic renewal. Statutory rights arising from serious breach or other legal termination grounds remain unaffected.

11. Changes to employees, countries and services

Notify your account manager of relevant changes to employee numbers, countries, organisation details or services. Changes may affect set-up, availability and pricing.

The parties confirm revised scope, costs and effective dates before implementation. An employee request outside the programme does not automatically add a paid service. Individual support requests remain confidential.

12. Additional services

Additional services and their rates are set out in the quote.

13. Usage limits and monitoring

Maximum usage limits per person prevent one or a few individuals from consuming a disproportionate share of the programme. Specific limits and additional support arrangements are defined in the programme.

Account management monitors usage through automated signals from the system. Operational monitoring does not give employers access to conversations or personal requests. Support beyond included limits is agreed in advance.

14. Confidentiality and personal data

EAP support is external and confidential. Personal requests and conversation content are not shared with HR or employers. Employer contact takes place only at the employee’s explicit request, after agreeing what may be shared.

Professionals must comply with legal disclosure obligations where applicable. Relevant professional confidentiality rules and limits are explained during support. The privacy notice and any required separate data-processing arrangements govern personal data.

Customers share only necessary data through agreed channels. General enquiry forms are not intended for medical records or sensitive employee information. Request-related contact consent is not general marketing consent.

15. Professional services and limitations

Suitable advisers and, where required, qualified professionals or partner providers deliver the services. Support depends on the request, professional assessment and agreed scope. First-line legal and financial guidance does not automatically include representation, litigation or regulated advice.

Services do not guarantee specific medical, legal, financial or organisational outcomes. ROI calculations and reports are indicative scenarios, not outcome guarantees. The website and forms are not a crisis service; use local emergency services in immediate danger, including 112 within the EU.

16. Appointments, training and materials

Appointments, training and additional support have practical arrangements for scheduling, participation, rescheduling and cancellation. Cancellation fees or loss of sessions apply only where clearly agreed in advance and legally permitted.

Materials, reports and training may be protected by Meapy Health’s or third parties’ intellectual property rights. Customers may use them for the agreed internal purpose. Publication, resale or use beyond that scope requires permission unless allowed by law. A service contract grants no franchise rights.

17. Complaints, breach and circumstances beyond control

Raise service complaints with your contract holder or account manager, and describe the problem without sharing unnecessary sensitive personal data. The parties investigate and discuss an appropriate solution. Complaints do not remove statutory rights.

For a breach, the parties address remediation under the agreement and applicable law. Circumstances beyond reasonable control may affect delivery; the affected party gives notice and seeks to minimise the impact. Such circumstances do not automatically extinguish all obligations or statutory rights.

18. Liability, law and disputes

Liability is assessed under applicable law and the specific agreement. These terms contain no unlimited indemnity or blanket exclusion of all liability. Non-excludable liability and mandatory rights remain protected.

Any choice of law and dispute arrangements must be expressly set out in the agreement, respecting mandatory protections and competent authorities. Parties first seek resolution through discussion. Where consumer law applies to a purchase, statutory information, withdrawal and refund rights remain applicable; these business terms do not exclude them.
